1. Parties and Scope of Service
This Advertising Agreement ("Agreement") is entered into by and between Amerishop Services LLC ("Company") and the business entity or individual identified during the registration process ("Advertiser"). The Company operates a nationwide business directory service designed to provide search engine indexing and visibility across all 50 United States.
The Advertiser agrees to purchase a Business Directory Listing. This service includes the creation of a comprehensive business profile, inclusion of a direct website link, contact information, and a "Verified Business Badge." The Company agrees to make the Advertiser's listing live within 24 hours of successful payment and profile submission. This scope of service is built to provide maximum search visibility and local authority for the Advertiser.
2. Advertising Fees and Term
The standard fee for a Business Directory Listing is $359.00 per year. This fee is billed annually in advance. By entering this agreement, the Advertiser commits to a 12-month term.
Unlike many other digital marketing agencies, Amerishop Services LLC prides itself on having no setup fees and no hidden costs. The $359.00 annual investment covers the entire year of nationwide exposure. The term begins on the date of the initial payment and automatically renews for successive 12-month periods unless a written notice of non-renewal is provided at least 30 days prior to the expiration of the current term.
3. Nationwide Exposure and Search Indexing
Amerishop Services LLC provides a platform that indexes the Advertiser's business across all 50 states. We leverage our high-traffic directory, which hosts over 1.3 million visitors, to ensure your business profile is seen by a wide and diverse audience.
The Company utilizes advanced SEO protocols to ensure that listings are search-engine friendly. While we cannot guarantee specific rankings on external search engines like Google, our directory platform is specifically engineered to improve the likelihood of high-visibility indexing. The Advertiser understands that "Nationwide Exposure" refers to the availability of the listing to users across the United States and its indexing on major search platforms.
4. Verified Business Badge and Profile Authenticity
Upon the commencement of the term, the Advertiser is granted a "Verified Business Badge" to be displayed on their directory profile. To maintain this badge, the Advertiser must provide accurate and truthful information regarding their business operations, licensing, and contact details.
The Advertiser represents and warrants that all content provided for the profile is accurate and does not infringe upon the rights of any third party. The Company reserves the right to remove the Verified Business Badge or suspend the listing if it is discovered that the Advertiser has provided fraudulent information or if the business no longer meets our quality standards.
5. Intellectual Property and Usage Rights
The Advertiser retains all rights to their pre-existing trademarks, logos, and proprietary content. By providing content to the Company, the Advertiser grants Amerishop Services LLC a non-exclusive, royalty-free, worldwide license to use, display, and distribute said content for the purpose of maintaining the directory listing and promoting the directory service.
The design, layout, and software of the Amerishop Services LLC directory, including the "Verified Business Badge" graphic and the "SEO Reaper" indexing methodology, remain the sole intellectual property of the Company or its respective owners. The Advertiser may not replicate or scrape the directory data for any purpose without express written consent.
6. Prohibited Content and Conduct
To ensure a professional and safe environment for all our users and listed businesses, the following types of content and conduct are strictly prohibited:
Illegal Activities: Any promotion of illegal goods, services, or activities.
Misleading Information: False advertising, bait-and-switch tactics, or deceptive business practices.
Infringing Material: Content that violates the intellectual property, privacy, or publicity rights of others.
Offensive Content: Hate speech, harassment, or sexually explicit material.
Spam and Malicious Code: The use of the directory to distribute malware, phishing links, or unsolicited bulk communications.
Impersonation: Representing yourself as another business or individual without authorization.
Failure to comply with these standards will result in the immediate removal of the listing without a refund.
7. Default, Breach, and Debt Acceleration
Maintaining a fair and dependable marketplace requires all parties to uphold their financial commitments. Under Missouri law, this agreement is a binding 12-month contract.
In the event that the Advertiser fails to make a scheduled payment or attempts to terminate the agreement before the 12-month term has expired, the Advertiser shall be in default. Upon default, the Company may exercise a "Debt Acceleration" clause, meaning the full balance of the remaining contract year becomes immediately due and payable. Furthermore, a $199.00 "Re-leasing Fee" will be automatically applied to the account to cover the administrative costs of managing the breach and re-listing the advertising space.
8. Limitation of Liability
Amerishop Services LLC provides its directory services on an "as-is" and "as-available" basis. While we strive for 100% uptime and 24/7 visibility, we do not warrant that the service will be uninterrupted or error-free.
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business opportunities, arising from the use of or inability to use the directory. Our total liability for any claim under this agreement is limited to the amount paid by the Advertiser to the Company during the 12 months preceding the claim.
9. Governing Law and Jurisdiction
This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the State of Missouri, without regard to its conflict of law principles.
Both parties agree that any legal action or proceeding related to this Agreement shall be brought exclusively in the state or federal courts located within the State of Missouri. By entering into this agreement, the Advertiser consents to the personal jurisdiction of these courts.
10. Electronic Signature and Acceptance
By completing the registration process and submitting payment, the Advertiser acknowledges that they have read, understood, and agreed to be bound by the terms of this Official Advertising Agreement.
This electronic acceptance has the same legal force and effect as a handwritten signature. The Advertiser further agrees that Amerishop Services LLC may communicate via email or phone regarding the status of the listing, renewals, and other service-related updates.
