1. PROVISION OF SERVICES

Amerishop Services LLC (the "Company") agrees to provide digital advertising and search engine optimization services through its proprietary directory platform, located at www.amerishop.biz and associated network sites. These services include, but are not limited to, business profile hosting, contact information indexing, website backlinking, and the issuance of a Verified Business Badge upon successful validation.

2. ADVERTISING COMMITMENT AND TERM

All basic directory advertising agreements are based on a 12-month commitment to ensure maximum search engine indexing and authority building. The standard rate for the Basic Nationwide Directory Listing is $359.00 per year. Listings are typically live and searchable within twenty-four (24) hours of payment confirmation and data submission.

3. PAYMENT AND BILLING

Payment for the annual service is due in full at the commencement of the agreement unless otherwise specified in a promotional offer. For certain promotional tiers, billing may be structured in three (3) installments every four (4) months. All payments are processed securely, and the Company reserves the right to suspend any listing where payment remains outstanding for more than seven (7) days.

4. ADVERTISING SERVICES - NO REFUNDS

All advertising purchases, directory listings, featured placements, and promotional services are non-refundable for any reason. This includes dissatisfaction with search rankings, performance, or changes in the Advertiser’s business status. The digital nature of indexing and search engine submission means that work is performed immediately upon listing, and costs are incurred by the Company to maintain the high-authority network.

5. ADVERTISER RESPONSIBILITIES

The Advertiser agrees to provide accurate, truthful, and up-to-date business information. The Advertiser represents and warrants that they own or have the authority to manage the business being listed. Business listings must comply with all local, state, and federal laws. The Company reserves the right to remove any listings that are false, misleading, illegal, or violate the community standards of the Amerishop network.

6. PLATINUM SEO UPGRADE

For businesses seeking market dominance, the Company offers a Platinum SEO upgrade at $3,600.00 per year. This service includes exclusive category positioning, enhanced keyword targeting, and priority indexing. Platinum services are governed by the same "No Refund" policy as standard advertising services due to the intensive labor and resource allocation required for top-tier search results.

7. INTELLECTUAL PROPERTY

Amerishop Services LLC retains all rights to the structure, design, and software of the Amerishop Directory. The Advertiser retains all rights to the specific content, logos, and trademarks they submit, but grants the Company a worldwide, non-exclusive, royalty-free license to display and distribute such content for the purposes of fulfilling the advertising agreement.

8. LIMITATION OF LIABILITY

In no event shall Amerishop Services LLC be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the advertising services, including loss of profits or business interruption. The Company’s total liability shall not exceed the total amount paid by the Advertiser for the current term.

9. GOVERNING LAW

This agreement shall be governed by and construed in accordance with the laws of the State of Missouri. Any legal action arising from this agreement shall be brought exclusively in the courts located in St. Louis, Missouri.

10. ENTIRE AGREEMENT

This Master Advertising Agreement constitutes the entire agreement between the Advertiser and Amerishop Services LLC with respect to the advertising services described herein and supersedes all prior discussions, proposals, understandings, or agreements, whether written or oral. Any modifications must be made in writing and approved by the Company.
