Amerishop Services LLC — Master Advertising Agreement (All Properties)

Preamble – Scope of Agreement

This Master Advertising Agreement ("Agreement") governs all advertising, listing, and SEO services provided by Amerishop Services LLC across its entire network of websites and digital properties, including but not limited to: amerishop.biz, dealmakerlending.com, dealbuz.net, rememberedlegacy.com, capitoldealmaker.com, towzilla.directory, AIMoble.com, Missouridependableinsurance.com, corprents.com, zapscash.com, amerishopservices.com, and any other website or platform owned, operated, or controlled by Amerishop Services LLC now or in the future. The terms herein apply universally to all such properties, and no separate advertising agreement shall be required for each individual site.

1. ADVERTISING SERVICES

Company agrees to provide Advertiser with placement within its nationwide business directory. Services include, but are not limited to, a verified business profile, contact information, website link, and nationwide indexing on major search engines (Google, Bing, etc.). Listings shall go live within twenty-four (24) hours of the Effective Date, contingent upon receipt of payment and required business information. This pricing applies uniformly across all Amerishop Services LLC websites and properties.

2. NO EXCLUSIVITY; OPEN MARKET POLICY

Advertiser acknowledges and agrees that this Agreement is NON-EXCLUSIVE. Company maintains an open market policy and reserves the right to sell advertising space, listings, and placements to any business or individual of its choosing, regardless of Advertiser''s industry, location, or vertical. The only conditions for advertising with Company are that the advertiser operates an ethical business and that payment is tendered with "green money" (i.e., lawful U.S. currency or equivalent approved tender). Company does not grant "territory exclusivity" or "category exclusivity" unless specifically outlined in a separate, written Platinum SEO Upgrade agreement. This non-exclusivity policy applies across the entire Amerishop Services LLC network of websites and properties.

3. PAYMENT TERMS AND NO DISCOUNT POLICY

Pricing & Payment: Advertiser agrees to pay the full advertised rate for all advertising services provided by Company. No discounts, promotional pricing, or rate reductions of any kind shall apply unless expressly approved in writing by an authorized representative of Company. Payment may be made either in full upfront or via a monthly payment plan as selected by Advertiser at the time of purchase. This pricing applies uniformly across all Amerishop Services LLC websites and properties.

Financed Premiums & Interest: Any advertising premiums that are financed (i.e., paid via a monthly installment plan) shall accrue interest at a rate of twenty-two percent (22%) per annum on the outstanding balance.

4. LATE FEES AND DEFAULT

Late Fees: A late fee of twenty-nine dollars ($29.00) shall be imposed on the first day that any payment is past due. This fee is non-waivable and shall apply automatically.

Default & Collection: If Advertiser fails to make any payment when due, the entire outstanding balance shall become immediately due and payable. Company reserves the right to pursue collection of any outstanding balance through any legal means available, including but not limited to referral to a third-party collection agency. Upon default, Company further reserves the right to immediately remove or suspend Advertiser''s advertising listing(s) without notice until all amounts owed are paid in full.

5. NO REFUND POLICY

STRICT NO REFUND POLICY: IN ACCORDANCE WITH COMPANY POLICY, THERE ARE NO REFUNDS FOR ANY REASON. ALL SALES ARE FINAL UPON EXECUTION OF THE ADVERTISING ORDER. THIS APPLIES TO ALL DIRECTORY LISTINGS, PLATINUM SEO UPGRADES, AND RELATED SERVICES. ADVERTISER ACKNOWLEDGES THAT THE IMMEDIATE PROVISION OF SERVICES (INDEXING WITHIN 24 HOURS) RENDERS THE SERVICE NON-REFUNDABLE.

6. ADVERTISER REPRESENTATIONS

Advertiser represents and warrants that: They operate an ethical business in compliance with all applicable local, state, and federal laws. All information provided for the listing is accurate and they have the legal right to use all trademarks and logos provided. They understand that Amerishop Services LLC provides visibility and indexing, but does not guarantee specific sales volumes or lead counts.

7. LIMITATION OF LIABILITY

Company’s maximum liability to Advertiser for any reason shall be limited to the total amount actually paid by Advertiser to Company during the current term. Company is not liable for any indirect, consequential, or punitive damages.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Texas. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the courts located in the jurisdiction of the Company’s principal place of business.

9. ACCEPTANCE OF TERMS

By submitting payment and initiating advertising services with Amerishop Services LLC, Advertiser acknowledges they have read, understood, and agreed to be bound by the terms of this "Hard Hitting" Advertising Agreement, specifically the 22% interest rate on financing, the immediate $29 late fee, and the strict No Refund policy.

10. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, negotiations, and agreements, whether written or oral. This Agreement supersedes any separate or site-specific terms that may exist on individual Amerishop Services LLC websites to the extent such terms conflict. No modification or waiver of any term shall be valid unless in writing and signed by both parties.
